Agreement to these Terms
These Invert Assist Sandbox Terms of Service (the “Terms”) form a binding agreement between you (“you” or “your”) and INVERT, INC. (“Invert,” “we,” “us,” or “our”) and govern your access to and use of the Invert Assist evaluation environment (the “Sandbox”).
By clicking “I agree,” creating an account, or accessing or using the Sandbox, you agree to these Terms. If you do not agree, you may not access or use the Sandbox.
1. Purpose of the Sandbox
The Sandbox is a free, limited evaluation environment intended to allow prospective customers and other authorized users to explore the functionality of Invert Assist.
The Sandbox uses synthetic or demonstration data provided by Invert. It is not intended to receive, store, or process your organization’s confidential, proprietary, regulated, or production data.
The Sandbox is provided solely for business, professional, research, and evaluation purposes and not for personal or consumer use.
2. Eligibility and Accounts
You must be at least 18 years old to use the Sandbox.
You must provide accurate account information and are responsible for maintaining the security of your account credentials and for activity occurring through your account.
If you register using an email address associated with your employer or another organization, you represent that you are authorized to use that email address and that your use of the Sandbox complies with any policies or obligations applicable to you.
3. No Confidential or Sensitive Data
Do not submit confidential, proprietary, regulated, personal, patient, or other sensitive information to the Sandbox.
This restriction applies to prompts, uploaded materials, free-text entries, instructions, and any other information you provide through the Sandbox.
In particular, you may not submit:
- confidential or proprietary company information;
- actual experimental, process, manufacturing, batch, or product data;
- trade secrets or other non-public technical information;
- personal information, protected health information, patient data, or other regulated personal data;
- passwords, credentials, financial information, or government identification numbers; or
- information you do not have the right to provide to Invert.
You are responsible for ensuring that anything you submit to the Sandbox complies with these requirements.
4. Use of Invert Assist
Subject to these Terms, Invert grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Sandbox solely to evaluate Invert Assist for your internal business purposes.
You may use Assist to interact with the synthetic data made available in your Sandbox, including asking questions, performing analyses, generating reports, and testing other functionality Invert makes available.
You may not:
- sell, resell, sublicense, distribute, or make the Sandbox available to another person;
- attempt to reverse engineer, decompile, extract, or discover the source code, models, system prompts, algorithms, model weights, or underlying methods used by Invert;
- circumvent usage, security, or access restrictions;
- use automated means to scrape or extract information from the Sandbox;
- use the Sandbox or observations of its behavior to develop or improve a product or service that competes with Invert;
- interfere with the security, integrity, or operation of the Sandbox; or
- use the Sandbox in violation of applicable law.
5. Synthetic Data
The data provided within the Sandbox is synthetic, simulated, anonymized, publicly available, or otherwise provided by Invert for demonstration purposes.
Synthetic data is designed to resemble data that may be encountered in bioprocess development or manufacturing, but it does not represent your organization’s actual processes, experiments, products, or results.
Invert makes no representation that synthetic data accurately represents any particular real-world process or that analyses performed using synthetic data will produce the same results when applied to actual data.
6. AI-Generated Output
Invert Assist uses artificial intelligence and machine-learning technologies. Results generated by Assist, including analyses, calculations, summaries, recommendations, reports, code, visualizations, and other content (“Output”), may be inaccurate, incomplete, or unsuitable for a particular purpose.
You are responsible for reviewing and independently validating Output before relying on it.
The Sandbox and its Output are intended solely for evaluation and demonstration. They are not intended to replace scientific, engineering, regulatory, quality, or other professional judgment.
You may not use the Sandbox or Output for clinical or diagnostic decisions, patient care, GMP batch disposition or release, regulatory submissions, production control, or other decisions where inaccurate results could create a material risk of harm.
Similar or identical Output may be generated for other users.
7. Intellectual Property
Invert and its licensors retain all right, title, and interest in and to the Sandbox and Invert’s products and technology, including Invert Assist, the synthetic datasets, software, interfaces, workflows, prompts and prompt templates, algorithms, models, analysis methods, documentation, designs, know-how, and all improvements and derivatives of the foregoing (“Invert Technology”).
Except for the limited right to use the Sandbox under these Terms, no rights in the Invert Technology are granted to you.
You may use Output generated through your use of the Sandbox for your own internal evaluation of Invert. Your use of Output does not give you ownership of any Invert Technology incorporated into or underlying that Output.
8. Information You Provide; Feedback and Usage Data
You retain any rights you may have in information you submit to the Sandbox. Because the Sandbox is not intended for confidential or proprietary information, you should only provide information that Invert may process for purposes of operating, supporting, securing, evaluating, and improving the Sandbox and Invert’s products and services.
Invert may collect information regarding use of the Sandbox, including feature usage, interactions with Assist, prompts, system logs, diagnostics, and other usage information, and may use that information to operate, secure, analyze, evaluate, and improve Invert’s products and services.
If you provide comments, suggestions, ideas, or other feedback regarding Invert or the Sandbox, Invert may use that feedback without restriction or obligation to you.
Personal information associated with your account will be handled in accordance with Invert’s Privacy Policy.
9. Third-Party Services
Invert may use third-party infrastructure, artificial intelligence models, cloud providers, and other service providers in operating the Sandbox.
You authorize Invert and its service providers to process information you provide as reasonably necessary to provide and operate the Sandbox, subject to these Terms and Invert’s applicable privacy and security practices.
10. Availability and Changes
The Sandbox is provided free of charge for evaluation purposes.
Invert may establish or modify usage limits, change available functionality, add or remove features, reset Sandbox environments, or modify or discontinue the Sandbox at any time.
Invert does not guarantee that the Sandbox or any particular feature will remain available.
Invert may suspend or terminate your access at any time, including if you violate these Terms, misuse the Sandbox, create a security risk, or exceed applicable usage limits.
11. No Service Levels; Disclaimer
THE SANDBOX, INVERT ASSIST, SYNTHETIC DATA, OUTPUT, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVERT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
INVERT DOES NOT WARRANT THAT THE SANDBOX WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.
NO UPTIME, SUPPORT, SERVICE-LEVEL, DATA-RETENTION, BACKUP, OR AVAILABILITY COMMITMENT APPLIES TO THE SANDBOX.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVERT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SANDBOX OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVERT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SANDBOX OR THESE TERMS WILL NOT EXCEED US$100.
13. Export Controls and Sanctions
You will comply with applicable U.S. and other export-control and economic-sanctions laws in connection with your use of the Sandbox.
You may not access or use the Sandbox if doing so would violate applicable trade restrictions or sanctions, and you may not use the Sandbox for prohibited military, nuclear, chemical, biological-weapons, or other restricted purposes.
14. Termination
These Terms apply from the time you accept them or first access the Sandbox until your access ends.
You may stop using the Sandbox at any time. Invert may suspend or terminate your access as described above.
Sections relating to intellectual property, disclaimers, limitation of liability, feedback, and other provisions that by their nature should survive will continue after termination.
15. Changes to These Terms
Invert may update these Terms from time to time. Updated Terms will be posted with a revised “Last Updated” date.
If we make a material change, we may provide additional notice or require you to accept the updated Terms before continuing to use the Sandbox.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Sandbox will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to that jurisdiction and venue.
17. General
You may not assign these Terms without Invert’s prior written consent. Invert may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
These Terms, together with Invert’s Privacy Policy and any additional terms expressly presented in connection with the Sandbox, constitute the entire agreement between you and Invert regarding your use of the Sandbox.
Nothing in these Terms modifies any separate written agreement between Invert and your organization regarding Invert’s paid products or services. Unless expressly stated in that agreement, use of this Sandbox is separate from any production or paid Invert environment.
